结语
目前,关于商誉的会计处理和税务规定散见于相关的会计准则和税法内容中。并购重组是公司在资本市场中运用多、影响大的手段和方式。由于并购成本与标的企业可辨认净资产公允价值不同,并购重组不可避免地会给并购企业带来大量商誉。“高溢价的并购重组也成为上市公司股东退出投资和利益输送转移的重要手段,账面的大额商誉往往是潜藏的亏损。”但与商誉相关的规定还不完善并且与实务之间没有形成完整而对称的操作性极强的体系。此外,会计准则和税法对于商誉的界定和处理规定还存在诸多不同。为了充分发挥资本市场中并购重组作为资源配置的手段,鼓励企业通过并购重组实现规模经济、协同效应以做大做强所具有的示范带动作用,有必要对商誉进行明确而统一的界定,制定专门的会计准则以完善相关内容处理,最大程度地缩小相关人员在实务处理中面临的困惑,以提供高质量的会计信息满足决策有用目标的要求。

随着我国路网建设的日益完善,以及众多市场主体的激烈竞争,作为一家专注于高速公路路网建设的企业,A高速路桥公司虽然自身增长很快,但存在战:路执行效果较差,经营效益不高,工程量增长缓慢,市场竞争力不强,缺乏合理战略规划等问题。
本文通过文献研究法、系统分析法,运用PEST、五力模型等分析工具对A高速路桥公司内外部环境进行了分析,对其发展机遇、威胁、优势及劣势进行了归纳,并基于SWOT分析法提出公司应实行纵向-体化发展战路,指出公司在公司层的战略包括业务向产业链延伸,强化项目整体运作能力,积极进行产业联盟:竞争战路需要根据具体业务来分别选择差异化战略、低成本战略和集中战路:职能层战路包括人力资源、市场拓展、成本管理、企业文化、5G应用策路五个领城,最后本文从组织保障、流程保障、战略评价和调整体系建设、加强公共关系管理等方面提出了发展战路执行的保障措施。
